| Calling Notice Wycombe Wanderers Supporters Group Limited (“the Society”) Notice is hereby given that the Annual General Meeting of the Society will be held at Adams Park, Hillbottom Road, Sands, High Wycombe, Bucks HP12 4HJ and also online on Thursday 16th November 2023 at 7:30pm, for the following purposes: – To receive and sign the Minutes of the Annual General Meeting held on 17th November 2022. To receive and adopt the Report of the Directors and the Audited Accounts for the year ended 30 June 2023. To re-appoint Haines Watts as auditors and to authorise the Directors to determine their remuneration. To confirm Tony Hector as re-elected as a Director of the Trust for a three year period To receive and discuss the Future Strategy of the Trust Approve the change of the trading name of WWSG Ltd from WWT to WWST (Wycombe Wanderers Supporters Trust) By Order of the Board 2nd November 2023 Nigel Kingston Chairman Eligible members will have the opportunity to vote in person or online (details will be provided on the night), or to submit a vote by email to be received no later than 23.59 on 15/11/23 to [email protected] (details will be provided separately). Please note email votes received after this date / time will not be counted. Notes: A member entitled to attend and vote at the Annual General Meeting is entitled to appoint a proxy (who need not be a member of the Society), to attend, speak at and vote on their behalf. A proxy form is enclosed and if completed should be returned to the Society’s registered office by no later than 23.59 on 15.11.23. No person other than the Chairman of the meeting may act as proxy for more than three members. No director seeking re-election will act as Chairman of the meeting. In accordance with the Trust’s Rules, one third of the current Trust Board is required to retire. Chris Harvey, Tony Hector and Russell Jones are therefore retiring from the Board by rotation. The board has decided that in order to better align with the outcome of its strategy review, (see above), it is appropriate to reduce the number of directors to seven. Chris Harvey and Russell Jones have agreed that, after a number of years, they propose to stand down from the board. Tony Hector has agreed to offer himself for re-election. No other candidate has put themselves forward for election. As there is only the one nominee, there will not be a requirement for an election to be held, and members will be asked to confirm his re-election as part of the AGM).
